Cyber Shuriken operates the Cyber Shuriken Network, an independent professional network. Members are independent professionals, not employees — Cyber Shuriken selects a small team from the Network for each client project, typically 1 to 5 members, and is not a party to the resulting engagement. See Section 13 for the full limitation of liability.
1. Acceptance of These Terms
These Terms of Use ("Terms") form a binding agreement between you and Cyber Shuriken Technologies Corporation ("Cyber Shuriken," "CSTC," "we," "us," or "our") governing your access to and use of cybershuriken.com, network.cybershuriken.com, and any related service we operate (together, the "Services"). By creating an account, submitting a request, or otherwise using the Services, you agree to these Terms, including the limitation of liability in Section 12.
If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
2. Definitions
- "Network" means the Cyber Shuriken Network, an independent professional network of Members.
- "Member" means an independent professional or institution registered with the Network. Members are independent contractors, not employees — see Section 5.
- "Client Account" means an individual or company that submits a project to Cyber Shuriken to be staffed from the Network.
- "Selection" means Cyber Shuriken's internal process of matching a submitted project against the Network and choosing the Member or Members — typically 1 to 5 — to be connected to the Client Account for that project.
- "Engagement" means any project, contract, or working relationship a Member and a Client Account enter into, whether or not it followed a Selection.
- "Content" means any information, text, or material submitted to the Services, including profile information.
3. Eligibility
You must be at least 18 years old and capable of entering a binding contract to use the Services. Institutional Members (universities, research labs, and similar organizations) must be represented by an authorized individual. We may decline to register, or may suspend, any account at our discretion, including where we cannot verify the information provided.
4. What Cyber Shuriken Does
Cyber Shuriken provides PMO delivery, change management, cybersecurity, and AI/ML consulting services directly, and separately operates the Network. When a Client Account submits a project, Cyber Shuriken reviews it internally and selects a small team from the Network — typically 1 to 5 Members — matched to that project. These Terms cover both.
5. Independent Contractor Status — Not Employees
Members are independent professionals, not employees of Cyber Shuriken. Nothing in these Terms, your membership, or your participation in a Selection creates an employment relationship, partnership, joint venture, or agency relationship between you and Cyber Shuriken.
Cyber Shuriken does not direct or control the manner in which a Member performs work for a Client Account, does not withhold taxes on a Member's behalf, and does not provide employee benefits of any kind. Members are solely responsible for their own tax obligations, business registration, insurance, and compliance with applicable law. Membership does not guarantee work — projects come as client submissions arrive, and being a Member does not entitle you to be selected for any particular project.
6. Account Registration and Security
You agree to provide accurate, current information when registering, and to keep it up to date. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at contact@cybershuriken.com if you suspect unauthorized use of your account.
7. Acceptable Use
You agree not to:
- Provide false, misleading, or impersonated information in a profile, submission, or communication;
- Use the Services for any unlawful purpose, or to harass, defraud, or discriminate against another user;
- Attempt to reverse-engineer, scrape, or systematically extract data from the Services;
- Interfere with the operation or security of the Services; or
- Attempt to circumvent the staffing process described in Section 11.
We may investigate and take appropriate action, including suspension or termination, against anyone who violates this section.
8. Your Content and Our License to Use It
You retain ownership of the Content you submit. By submitting Content, you grant Cyber Shuriken a non-exclusive, worldwide, royalty-free license to host, and use that Content solely to operate, promote, and improve the Services — for example, matching your profile against project requirements, or referencing aggregate, de-identified statistics in our marketing. This license ends when you delete the Content or close your account, except where retention is required by Section 5 of our Privacy Policy or by law.
9. How Cyber Shuriken Selects and Connects
Cyber Shuriken reviews each project submitted by a Client Account and selects a small team from the Network — typically 1 to 5 Members — matched against verified skills, ratings, certifications, and availability. Only the selected Members are connected to the Client Account; the rest of the Network is unaffected. That is the entire scope of what we do.
Cyber Shuriken is not a party to, and does not participate in, negotiate, supervise, or guarantee the outcome of, any Engagement that a selected Member and a Client Account may subsequently enter into. Once a Selection is made, the Engagement — including scope, deliverables, pricing, payment, timelines, and conduct — is exclusively between those parties. Cyber Shuriken is not a staffing agency, employer of record, escrow service, project manager, or guarantor for any Engagement.
Membership review and any "verified" designation reflect a good-faith review process at a point in time. They are not a guarantee of a Member's skills, qualifications, availability, conduct, or the successful completion of any Engagement.
10. Dues and Fees
Members pay recurring dues, tiered by member category, to remain active in the Network. Client Accounts are charged separately for Cyber Shuriken's staffing service. Current amounts are published on the Network site and may change with notice; changes do not apply retroactively to dues or fees already paid.
Dues and fees are payment for the vetting, matching, and staffing service only — not for any particular outcome, Engagement, or result — and, except where required by applicable law, are non-refundable, regardless of whether a resulting Engagement proceeds, succeeds, or fails.
Payment processing for the Network is handled by a third-party payment provider. Cyber Shuriken does not store full payment card details.
11. Non-Circumvention
The Network's value depends on projects being staffed through Cyber Shuriken's selection process rather than around it. A Client Account agrees not to engage a Member directly for a new project without first submitting that project to Cyber Shuriken for staffing.
If a Client Account engages a Member directly within twelve (12) months of any connection facilitated by Cyber Shuriken, without submitting the project for staffing, Cyber Shuriken may invoice the standard staffing fee for that Engagement. This clause protects the integrity of the Network for all Members and does not limit any other remedy available to us.
12. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
We make no warranty regarding the accuracy or completeness of any profile, the quality or outcome of any Engagement, or the creditworthiness or good faith of any user.
13. Limitation of Liability
Cyber Shuriken is not liable for any financial loss, damages, or claim arising out of or in connection with:
- Any Engagement, payment, non-payment, or dispute between a Member and a Client Account — Cyber Shuriken is not a party to that relationship and bears no financial responsibility for its outcome, whether or not it followed a Selection made by Cyber Shuriken;
- Any Member's or Client Account's conduct, performance, non-performance, misrepresentation, or insolvency; or
- Use of, or inability to use, the Services.
This includes loss of profits, loss of data, loss of business, and any direct, indirect, incidental, special, or consequential damages.
This exclusion applies to the maximum extent permitted by applicable law. It does not exclude liability for fraud, or for death or personal injury caused by negligence, in the narrow circumstances where the law does not allow those specific matters to be excluded. Outside of that narrow exception, Cyber Shuriken's financial liability is nil.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cyber Shuriken and its officers, employees, and affiliates from any claim, demand, loss, or damages, including reasonable legal fees, arising out of: your use of the Services; your breach of these Terms; your Content; or any Engagement or dispute with another user.
15. Dispute Resolution
Before filing a claim, you agree to contact us at contact@cybershuriken.com so we can attempt to resolve the issue informally. If a dispute cannot be resolved informally within 30 days, either party may pursue it through the courts of the Province of Ontario as set out in Section 20, or, where both parties agree in writing, through binding arbitration.
16. Suspension and Termination
You may close your account at any time by contacting us. We may suspend or terminate access to the Services at our discretion, including for violation of these Terms, with or without notice. Sections that by their nature should survive termination — including Independent Contractor Status, Dues and Fees owed, Non-Circumvention, Disclaimers, Limitation of Liability, and Indemnification — remain in effect after your account is closed.
17. Intellectual Property
All content on the Services, excluding user-submitted Content, is owned by Cyber Shuriken Technologies Corporation or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from it without our written permission.
18. Force Majeure
Cyber Shuriken is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, labour disputes, internet or utility failures, or acts of government.
19. General Provisions
Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Entire Agreement. These Terms, together with our Privacy Policy and any published fee schedule, constitute the entire agreement between you and Cyber Shuriken regarding the Services, superseding any prior agreements.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
20. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute not resolved under Section 15.
21. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice — for example, by email or a notice on the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
